These terms govern your use of the Build Prep websites and application (the “Service”) operated by Build Prep Limited. By using the Service you agree to these terms and to our Privacy Policy.

1. Early access

Build Prep is not generally launched. Early access is offered so you can try the Service and give feedback. Features may change. We do not promise a particular service level, uptime, or that every feature will remain in the same form.

2. Who may use the Service

The Service is for construction businesses and professionals. You must be 16 or older and able to enter a contract. If you use the Service for a company, you confirm you are authorised to bind that company.

3. Your account

You are responsible for the accuracy of account details and for keeping sign-in details confidential. Tell us promptly if you think an account has been misused. We may suspend an account that we reasonably believe is being used in breach of these terms or in a way that risks the Service or other users.

4. Your content

You retain all rights in drawings, documents, photos, notes, and other materials you upload (“Customer Content”). You grant us a limited licence to host, process, and display Customer Content only as needed to provide the Service to you.

You confirm you have the right to upload Customer Content and that doing so does not infringe anyone else’s rights or any confidentiality obligation. Construction pricing and bid information is your confidential information; we will not use it except to provide the Service.

Measurements, extracted title-block data, and similar outputs are tools to assist you. They are not a substitute for a licensed quantity surveyor, engineer, or other professional. You remain responsible for checking quantities, compliance, and contractual documents before you rely on them.

7. Intellectual property

The Service, including software, design, and branding, is owned by Build Prep Limited or its licensors. You may not copy, modify, or redistribute the Service except as allowed by these terms or by law.

8. Privacy

Personal information is handled as described in our Privacy Policy. That policy explains cookies on the Google Sites marketing pages and essential storage in the app.

9. Availability and changes

We may change, pause, or withdraw parts of the Service, including during early access. We will try to give reasonable notice of material changes where we can. The marketing website and the app may be unavailable from time to time (including when a free hosting instance has been idle).

10. Liability

To the extent permitted by the Consumer Guarantees Act 1993 and other New Zealand law, the Service is provided “as is” during early access. We are not liable for loss of profits, loss of data, or indirect loss. Where we cannot exclude liability, it is limited to NZ$100 or the amount you paid us in the previous 12 months, whichever is greater. Nothing in these terms limits rights that cannot be limited by law, including non-excludable consumer guarantees if you are a consumer.

11. Termination

You may stop using the Service and delete your account at any time via https://app.buildprep.co.nz/deleteuser. We may end or suspend access if you materially breach these terms. Clauses that should reasonably survive (including intellectual property, liability, and confidentiality) continue after termination.

12. Governing law

These terms are governed by the laws of New Zealand. The New Zealand courts have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction to protect intellectual property or confidential information.
